Partner Agreement

1. Acceptance

By creating an account on partners.glood.ai (“Portal”) you agree to this Partner Agreement (“Agreement”) with Loopclub Ltd. (“Loopclub”, “we”), the company that operates the Glood.AI suite of commerce products. This Agreement governs your participation in the Glood Partner Program.

2. The Program

The Program lets you (the “Partner”) refer Shopify-based brands to Loopclub. When a brand you've referred installs and pays for one or more Glood apps, you earn revenue share on what they pay us, calculated and displayed monthly in the Portal.

Participation is open. We may modify, suspend, or close the Program with reasonable notice. You're responsible for keeping your account information accurate and your credentials secure.

3. Revenue share & payouts

Your revenue share percentage is determined by your tier (Silver 10%, Gold 15%, Platinum 20%) and applies to net revenue Loopclub collects from the brands you've referred. Payouts run on a monthly cycle and are released only after the brand's billing has cleared with us — depending on payment terms and processing this can be 30–60 days after invoicing.

Revenue share is not earned on free plans, trial periods, chargebacks, or refunds. Detailed payout statements are available in the Portal. We'll give you 30 days' written notice before changing revenue share rates that affect you.

4. Conduct

You agree to represent Glood and Loopclub honestly. No spam outreach, fake referrals, self-referrals, fraudulent installs, or activity designed to game the Program. You may not represent yourself as an employee or official agent of Loopclub or Glood.AI.

5. Intellectual property

Glood, Glood.AI, and Loopclub names, logos, and product marks are the property of Loopclub Ltd. We grant you a limited, non-exclusive, revocable licence to use our branding solely for the purpose of promoting Glood products in line with our brand guidelines.

6. Termination

Either party may terminate this Agreement at any time with written notice. On termination we'll process any cleared revenue share owed within 60 days, subject to the minimum payout threshold. We may immediately suspend or terminate access for breach, fraud, or misrepresentation.

7. Liability

To the maximum extent permitted by law, Loopclub is not liable for indirect, incidental, special, consequential, or punitive damages. Our aggregate liability under this Agreement is capped at the revenue share paid to you in the 12 months preceding the claim.

8. Governing law

This Agreement is governed by the laws of India. Disputes will be resolved through binding arbitration in accordance with applicable rules.
